Terms of Service — Detectly

These Terms of Service (“Terms”) govern your use of the Detectly application, a product operated by EcomTuc (“Detectly”, “we”, “us”), when installed on a Shopify store. By installing or using Detectly you agree to these Terms. This is a starter template and should be reviewed by qualified legal counsel before publishing.

1. Eligibility

You must have a valid Shopify account and the authority to bind your business to these Terms. You must be at least 18 years old.

2. The service

Detectly provides UTM attribution, order tagging, and marketing analytics features for Shopify stores. Specific features available to you depend on your active plan.

3. Fees and billing

Detectly offers a free plan and paid plans billed through Shopify.
Recurring fees are charged by Shopify at the cadence and amount stated in the Shopify App Store listing and in-app billing screen.
You can change or cancel your plan at any time. Cancellation takes effect at the end of the current billing cycle.
Fees are non-refundable except where required by law.

4. Acceptable use

Do not use Detectly to violate any law or third-party right.
Do not attempt to reverse-engineer, circumvent, or abuse the service.
Do not use Detectly to track individuals outside the context of their interactions with your Shopify store.

5. Merchant data and responsibilities

You retain all rights to the data you provide or that Detectly processes on your behalf. You are responsible for (i) having an appropriate privacy policy on your store that discloses the use of Detectly and (ii) obtaining any consent legally required to process end-customer data.

6. Intellectual property

Detectly (including all software, branding, and content) is owned by us and licensed to you under these Terms on a limited, non-exclusive, non-transferable basis while your subscription is active.

7. Service availability

We aim to keep Detectly available at all times but do not guarantee uninterrupted access. Scheduled maintenance, Shopify platform changes, and force-majeure events may cause downtime.

8. Disclaimers

Detectly is provided “as is” and “as available.” To the fullest extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Analytics and attribution outputs are statistical estimates and should not be the sole basis for business decisions with material financial impact.

9. Limitation of liability

To the fullest extent permitted by law, our aggregate liability for claims arising out of or relating to these Terms or your use of Detectly is limited to the fees you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, special, or punitive damages.

10. Termination

Either party may terminate these Terms at any time by uninstalling the app (merchant) or by suspending access (Detectly) for breach, non-payment, or regulatory reasons. Upon termination, your data will be deleted in accordance with our Privacy Policy.

11. Changes

We may update these Terms from time to time. We will update the “Last updated” date and, for material changes, provide reasonable notice. Continued use after changes take effect constitutes acceptance.

12. Governing law

These Terms are governed by the laws applicable to our principal place of business, without regard to conflict-of-laws rules.
